The deal, in plain English.
Quickline Analytics ("Quickline", "we", "us") is a software company in Michigan, USA. These terms cover this website and the purchase of a subscription to software we sell. By subscribing on behalf of a business you agree to them for that business and confirm you have the authority to do so.
1. What we sell
We sell hosted software by subscription. Today that is CompanyCodex, an operating platform for independent restaurants, delivered over the web at companycodex.com. Using the software itself is governed by its own end-user agreement, the CompanyCodex Terms of Service, and its Privacy Policy. Where those and this page overlap, those govern the use of the product and this page governs the purchase.
2. Accounts
- The business that subscribes (the "Customer") owns its account. The person who sets it up is its first owner and decides who else has access.
- You must be at least 18 and acting for a business to buy a subscription.
- Keep your sign-in to yourself and tell us if you think it has been used by someone else.
3. Prices and billing
- Each business pays one flat monthly price, in US dollars, quoted to its owner in writing before the first charge. Nothing is charged until the owner sets up payment.
- We do not change the price of a running subscription; a new price takes effect only when you agree to it and set up payment again.
- Prices are shown before sales tax. Where tax applies it is added as its own line at checkout and on every invoice.
- Subscriptions are billed monthly in advance by card through Stripe, our payment processor. The card, the invoices and the receipts are managed in Stripe's hosted billing portal, reached from inside the product. We never see or store card numbers.
- If a payment fails we will let the owner know and retry. We may suspend an account whose fees stay unpaid, after notice and a chance to put it right.
4. Cancellation and refunds
- Cancel any time. From the billing portal, or by emailing andrew@quicklineanalytics.com. There is no contract term and no cancellation fee.
- Cancellation takes effect at the end of the paid month. You keep access until then and nothing further is charged.
- Refunds. A month already paid is not refunded, except where the law requires it or where we charged you in error, in which case we refund the mistaken charge in full to the original card. If you believe a charge is wrong, email us within 30 days of the charge and we will sort it out.
- Your data after cancelling. You can export the whole dataset for a reasonable window after the subscription ends, and then we delete it as the product's Privacy Policy describes.
5. Your data
Everything a Customer puts into the software is the Customer's. We host, process and back it up only to provide the service, and for nothing else. We do not sell it and we do not use it to train AI models. The product's Privacy Policy sets out the detail; this website's own, much shorter, policy is here.
6. What you may not do
- Resell, sublicense or offer the software to third parties, or use it to build a competing product.
- Probe, scan or test the security of the software or this site without our written permission, or try to reach another customer's data.
- Use the software in a way that is unlawful or puts an unreasonable load on it.
7. Availability and support
We aim to keep the software available at all times and to tell you about planned maintenance, but we do not promise uninterrupted service. Support is by email at andrew@quicklineanalytics.com, and we answer ourselves.
8. Our intellectual property
The software, its design and its names belong to Quickline Analytics. A subscription gives the Customer a limited, non-exclusive, non-transferable right to use the software for its business while the account is in good standing. The Customer's data stays the Customer's.
9. Ending the agreement
- You can close your account at any time by cancelling (section 4).
- We can suspend or close an account that breaks these terms, puts other customers at risk, or stops paying fees that are due, after giving notice and a chance to put it right wherever that is reasonable.
- We can discontinue a product with at least 90 days' notice, and will keep your data exportable for the whole of that period. Any month paid for beyond the discontinuation date is refunded.
10. Warranties and liability
The software is provided "as is". To the fullest extent the law allows, we make no warranty that it is error-free or fit for a particular purpose, and we are not liable for indirect, incidental or consequential losses. Our total liability to a Customer for any claim is limited to the fees that Customer paid us in the twelve months before the claim arose, or $100 if it has paid nothing. Nothing here limits liability that cannot be limited by law.
11. Changes to these terms
If we change these terms in a way that matters, we email account owners at least 30 days before the change takes effect. Continuing to subscribe after that date is acceptance. The current version always lives at this address.
12. The legal bits
- These terms are governed by the laws of the State of Michigan, USA, and any dispute will be heard in the state or federal courts located in Michigan. Both sides agree to try to resolve a dispute by talking first.
- If any part of these terms is found unenforceable, the rest still stands.
- You may not transfer this agreement without our consent; we may transfer it to a successor that takes on the product, with notice to you.
